This Non-Disclosure Agreement (“Agreement”) is made effective immediately, between:

[Closer Institute], (“Disclosing Party”),

and

[the independent sales agent/person who signed the agreement below], (“Receiving Party”).

1. Purpose

The Disclosing Party intends to disclose certain confidential information, trade secrets, intellectual property, and proprietary information including sales scripts, online sales training portal, videos, sales call recordings and other resources (“Confidential Information”) to the Receiving Party for the purpose of being an appointment setter, sales person or closer for businesses connected with Closer Institute only and with Closer Institute consent only

2. Definition of Confidential Information

Confidential Information includes but is not limited to:

Training materials, sales scripts, mind maps, documents, sales call recordings, trade secrets, videos and training modules provided by the Disclosing Party.

3. Obligations of Receiving Party

The Receiving Party agrees:

To maintain the confidentiality of all Confidential Information received from the Disclosing Party.

Not to disclose or permit disclosure of any Confidential Information to any third party without prior written consent from the Disclosing Party.

Agrees to not repurpose the information or intellectual property handed over including sales scripts, training portals, documents or use to create a similar business of the nature of closer institute in the sales training and recruitment industry or closer institutes market

To use the Confidential Information solely for the purpose of being an appointment setter, sales person or closer for businesses connected with Closer Institute only with Closer Institute’s consent only

4. Term

This Agreement shall remain in effect for a a period three years or under Closer Institutes discretion

5. Return of Confidential Information

Upon termination of this Agreement or upon the Disclosing Party’s request, the Receiving Party shall promptly return or destroy all Confidential Information, intellectual property, sales scripts, training documents and training portals and any copies thereof.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Victoria, Australia or the United States of America for American Citizens

IN WITNESS WHEREOF, the parties hereto have executed this Non-Disclosure Agreement as of the date first above written.
